Terms of Service

These terms govern your use of MacroEntity, a product of Sakamoto Labs LLC (“we”, “us”). By creating an account you agree to them.
1. The service
MacroEntity stores the corporate documents you upload, reads them with AI to propose facts about your entities, and keeps a checklist, a structure chart, governance and basic equity records from what you review and apply. It is in beta: features may change, and we may suspend accounts that abuse the service or its infrastructure.
2. Not legal advice
MacroEntity organizes documents and flags gaps; it is not legal, tax or accounting advice, and using it creates no attorney–client relationship. Checklists are general and may not cover every requirement that applies to your companies, and facts read by AI can be wrong. Review what you apply, and consult a qualified professional before relying on it for a filing, a transaction or a diligence response.
3. Your content
You own the documents you upload and the records you build from them. You grant us the rights needed to store, process and display them to run the service, including sending document contents to our AI provider to extract facts. You are responsible for having the right to upload each document, including the personal data of the people named in it.
4. Acceptable use
Do not upload documents you are not entitled to share, use MacroEntity to misrepresent a company's records, distribute malware, or overload our systems.
5. Your account
Keep your sign-in credentials secret. Activity in your account is your responsibility.
6. Fees
The service is free during beta. We will give notice before introducing fees, and nothing will be charged without your agreement.
7. Disclaimers and liability
The service is provided “as is” and “as available”. Keep your own copies of important documents. To the maximum extent permitted by law, Sakamoto Labs is not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the past twelve months.
8. Termination
You may stop using the service and delete your documents or your account at any time; deleting your account deletes your workspace and all of its files. We may terminate accounts that breach these terms.
9. Changes and law
We may update these terms with notice. They are governed by the laws of the State of Florida.
